Expired Trade License Dubai: Fines, Grace Period & Reinstatement

An expired trade license in Dubai is one of the most stressful situations a business owner can face - and one of the most common. Whether it slipped through during a busy period, got delayed by a documentation issue, or was simply missed, the consequences compound quickly. The longer you wait, the more complex and costly the recovery becomes.

This guide covers everything you need to know in 2026: the grace period (and its limits), the exact fine schedule, what happens to your visas, bank accounts, and VAT registration, and the step-by-step reinstatement process for both mainland (DET) and free zone businesses.

If Your License Is Already Expired - Act Today

Every additional month without renewal adds AED 250 to your fine balance and moves you closer to the 12-month cancellation threshold. The reinstatement process is the same whether you act today or in two weeks, but the cost and complexity only increase. Do not wait.

The 30-Day Grace Period: What It Actually Means

Dubai's DET (Department of Economy and Tourism, formerly DED) provides an industry-observed grace period of approximately 30 days after the license expiry date. During this window, you can submit your renewal application and pay outstanding fees before escalated enforcement action begins.

However, the grace period is widely misunderstood. Here is what it does - and does not - cover:

Assumption

Reality

"No fines during grace period"

Incorrect. AED 250/month fine accrues from day 1 after expiry per the Commercial Compliance Manual

"I can operate normally during grace period"

Incorrect. Operating with an expired license carries an AED 5,000 fine regardless of grace period

"30 days is guaranteed by law"

Incorrect. The 30-day window is industry-observed, not officially codified — DET can act earlier

"Grace period applies to free zones"

Incorrect. Free zones set their own timelines — some are shorter than 30 days

"I can renew anytime in the 30 days with no penalty"

Partially correct — enforcement action typically doesn't escalate, but the monthly fine still applies

The Right Way to Use the Grace Period

The 30-day window exists to give businesses time to gather documents and complete renewal, not to delay it. Use every day of the grace period actively: gather Ejari, Corporate Tax Certificate, passport copies, and NOCs. Submit renewal as early as possible within the window. Do not use it as permission to continue trading without urgency.

Fine Schedule: Month-by-Month Escalation

Fines for an expired trade license in Dubai escalate in stages. The table below reflects the 2026 DET fine structure and consequences timeline for a mainland business:

Day 1 after expiry

  • AED 250/month begins

  • Monthly Late Renewal Fine Starts

  • AED 250 monthly fine accrues from the first day after expiry per DET's Commercial Compliance Manual. This is separate from the operating fine.

Day 1 - 30 (Grace Period)

  • Renew Now - Best Window

  • Reinstatement Straightforward

  • Standard renewal process. Pay AED 250 fine (1 month) + renewal fees + submit full document set. License reinstated within 1–5 working days.

1 - 3 months

  • AED 250 - 750 fine accumulated

  • Fine Accumulation + Operating Fine Risk

  • If you have been operating, an additional AED 5,000 fine applies. Renewal still straightforward - settle fines + renew. New visa applications may already be rejected.

3 - 6 months

  • Serious - Act Immediately

  • Visa Renewals Blocked + Bank Risk

  • AED 750–1,500 in fines accumulated. Employee visa renewals blocked. Bank may flag corporate account. DET may issue compliance notice. Surcharges may be added on top of monthly fine.

6 - 12 months

  • Severe - Specialist Required

  • Administrative Closure + Account Freeze

  • DET may issue administrative closure order. Operating after closure: AED 10,000 fine. Bank account likely frozen. Employee visas at risk of cancellation. Potential AED 5,000 blocklisting fine. Reinstatement still possible but complex - requires PRO intervention.

12+ months

  • Critical - Forced Cancellation

  • License Cancelled + Possible Blacklisting

  • DET initiates forced cancellation. Company principals may be blacklisted - blocking future business setup in Dubai. Full liquidation process required. Re-establishment needs new company formation. Reinstatement through renewal no longer available.

AED 5,000 Operating Fine - Often Overlooked

Many business owners focus on the AED 250/month late fine and overlook the separate AED 5,000 fine for operating with an expired license. If DET inspectors identify you are conducting commercial activity - accepting payments, issuing invoices, operating premises - with an expired license, this fine applies immediately and independently of the monthly late renewal fine. If DET issues an administrative closure and you continue operating, this escalates to AED 10,000.

Cascading Consequences Beyond Fines

The financial penalties are just one part of the problem. An expired trade license in Dubai triggers a chain of operational disruptions that affect every aspect of your business:

Employee Visa Renewals Blocked

Your trade license is the legal backbone of your establishment card, which is what makes you a registered employer in the UAE. When the license expires, your ability to renew or apply for employee residence visas is suspended. After approximately 6 months of lapse, DET may block all visa activity on your establishment card, effectively freezing your workforce's residency status. Employees on expiring visas may accumulate overstay fines of AED 200 per day, which fall on you as the sponsor.

Corporate Bank Account Restrictions

UAE banks are legally required to hold current business documentation for all corporate accounts. Most banks automatically flag accounts when a linked trade license expires beyond 3–6 months. Once flagged, the bank may restrict outgoing transfers, block card transactions, or fully freeze the account. This can make it impossible to pay suppliers, process payroll, or receive client payments while the license remains expired.

VAT and Corporate Tax Compliance

An expired license does not suspend your UAE VAT or Corporate Tax obligations. You remain legally required to file VAT returns and pay corporate tax — even on revenue earned with an expired license. Failure to file during a license lapse compounds your compliance exposure with FTA penalties on top of DET fines.

Contracts and Invoices Voided

Commercial contracts that reference your trade license number and validity may be contested as unenforceable if the license expired during the contract period. Clients, partners, or government entities may reject invoices issued under an expired license - creating payment disputes that are difficult to resolve retroactively.

Blacklisting Risk

If DET proceeds with forced cancellation after 12 months of lapse, the company and its principals can be blacklisted in the UAE business registry. A blacklisted individual cannot serve as a shareholder, director, or manager in a new UAE company, making future business setup in the UAE extremely difficult.

Free Zone License Expiry: Different Rules

If your expired license is a free zone license - DMCC, IFZA, JAFZA, DAFZA, Meydan, Dubai South, DIFC, the rules differ from mainland DET. Each free zone authority sets its own grace period, fine schedule, and reinstatement process.

Always Verify with Your Free Zone Directly

Free zone fine schedules and grace periods are set independently and can change without notice. Log in to your free zone member portal or contact your free zone account manager directly to confirm current penalty amounts before submitting reinstatement.

How to Reinstate an Expired Trade License in Dubai

For mainland (DET) businesses with a license expired for less than 12 months, reinstatement follows the standard renewal process - but with additional steps to clear accumulated fines and resolve compliance gaps first.

  • Check your exact expiry date and accumulated fines.

Log in to the Invest in Dubai portal (invest.dubai.ae) or DED eServices using UAE Pass. Check your license status, expiry date, and any outstanding fines or notices. Do not assume the amount - verify it on the portal.

  • Clear all outstanding fines and violations

Pay all DET late renewal fines (AED 250 × months elapsed), any operating fines (AED 5,000), MOHRE labor violations, municipality penalties, and any other government fines linked to your license. Unsettled fines block the renewal submission.

  • Renew your Ejari tenancy contract.

If your office lease expired alongside or before the license, renew the lease with your landlord and update Ejari registration (AED 210). DET will not process any renewal without a valid, active Ejari. This is the most common blocker in reinstatement cases.

  • Obtain a current Corporate Tax Registration Certificate.

Log in to EmaraTax (tax.gov.ae) and confirm your TRN is active and the certificate is downloadable. If not registered, register now - mandatory for all renewals since 2023.

Refresh all shareholder and manager documents. Collect current passport copies, UAE visa copies, and Emirates ID copies for all shareholders and managers. Any expired personal documents will block the submission.

  • Obtain required NOCs (if applicable).

If your license covers a regulated activity (food, healthcare, financial services, construction, education), obtain a fresh NOC from the relevant authority. These can take 2–4 weeks for complex activities.

  • Submit the renewal application.

Log in to Invest in Dubai portal, select 'Renew Trade License', upload all documents, and submit. Or attend a Tasheel or DED service center in person - advisable for lapsed licenses where a compliance officer review may be required.

  • Pay all renewal fees.

Base license fee + market fee (5% of annual rent) + establishment card (AED 2,000) + Chamber of Commerce (AED 1,200) + any zone-specific charges. Portal generates a full fee invoice.

  • Receive reinstated license and update all linked records.

Once issued (1 - 5 working days; complex lapse cases may take longer), download the PDF license. Submit immediately to your bank to lift account restrictions. Initiate employee visa renewals.

When Reinstatement Is No Longer Possible

After approximately 12 months of lapse, DET may initiate forced cancellation of the license. At this point:

  1. Standard renewal is no longer accepted, the license is classified as cancelled

  2. Company must go through the full liquidation process: appointing a liquidator, publishing a notice in local newspapers (or Arabic gazette), settling all liabilities, and closing the establishment with relevant authorities

  3. Company principals may be blacklisted in the UAE business registry, restricting their ability to incorporate or serve in a new company

  4. Employee visas linked to the license are cancelled by default

  5. A fresh company formation is required to continue operating, with new DED/DET fees, Ejari, share capital, and processing time

Prevention: Stop It from Happening Again

Reinstatement solves the immediate problem. Prevention stops it from recurring. Once you have reinstated your license, put these measures in place:

  • Set a 60-day calendar alert for next year's license expiry - in your phone, your email calendar, and your accounting system

  • Align your Ejari renewal date with your license expiry so both are due at the same time, preventing the Ejari-expiry blocker from derailing renewal

  • Keep employee Emirates IDs and visas current, expired personal documents block renewal submissions

  • Maintain your Corporate Tax Registration Certificate on EmaraTax as a standing document, check it at least quarterly

  • Appoint a PRO services partner to manage renewal tracking and submission on your behalf so renewals never fall through the cracks during busy periods

Frequently Asked Questions

  1. What is the grace period for an expired trade license in Dubai?

Dubai DET provides an industry-observed grace period of approximately 30 days after license expiry. During this window you can renew without escalated enforcement action - but the AED 250/month fine still applies from day 1. The 30-day window is not officially codified and does not apply to free zones, which set their own (often shorter) grace periods.

  1. What is the fine for an expired trade license in Dubai?

AED 250 per month from the first day after expiry (per DET's Commercial Compliance Manual), plus AED 5,000 if you are operating with an expired license, plus AED 10,000 if DET has issued an administrative closure and you continue operating. Fines accumulate monthly until the license is reinstated or cancelled.

  1. Can I reinstate an expired trade license in Dubai?

Yes, in most cases before the 12-month mark. The reinstatement process requires settling all accumulated fines, renewing Ejari, obtaining a fresh Corporate Tax Registration Certificate, refreshing shareholder documents, and submitting the renewal application via the Invest in Dubai portal or a DED service center. For licenses lapsed 6+ months, a DET compliance officer review may be required.

  1. What happens to employee visas when a Dubai trade license expires?

Employee visa renewals are blocked as soon as the sponsoring license expires. After approximately 6 months of lapse, DET may block all visa activity on your establishment card. Employees on expiring visas may accumulate overstay fines (AED 200/day) that fall on you as the sponsor. The license must be reinstated before any visa processing resumes.

  1. Can my bank account be frozen if my trade license expires?

Yes. UAE banks are legally required to maintain current business documentation. Most banks flag and restrict corporate accounts linked to expired licenses within 3–6 months of lapse. This can block outgoing payments, payroll, and client receipts. Submitting the reinstated license to your bank resolves the restriction.

  1. How long can a trade license be expired before forced cancellation in Dubai?

DET may initiate forced cancellation proceedings after approximately 12 months of license lapse. After this point, standard reinstatement through renewal is no longer available and full company liquidation may be required. Company principals may be blacklisted, restricting future business setup in the UAE.
